RiskCube Disclosures and Consent to Conduct Business Electronically

PLEASE READ THESE DISCLOSURES CAREFULLY BEFORE COMPLETING A TRANSACTION.

We are required by law to provide certain disclosures to you before you enter into transactions electronically and to obtain your consent to deliver certain documents and communications electronically. This Disclosure and Consent to Conduct Business Electronically ("Disclosure") explains how you will receive documents and other communications from RiskCube in electronic form and describes your rights and options.

This Disclosure is provided in connection with the federal Electronic Signatures in Global and National Commerce Act ("E-SIGN") and applicable state electronic transaction laws, including the Uniform Electronic Transactions Act ("UETA") as adopted in your state.

Who We Are

"RiskCube," "we," "us," or "our" refers to RiskCube, Inc. and RiskCube Insurance Services, LLC. RiskCube Insurance Services, LLC is the licensed insurance producer/broker that provides brokerage services where licensed.

"Platform" means the RiskCube website and online services available at www.riskcube.com, including associated applications, dashboards, and tools.

Definitions

"Communications" means all information we are required or permitted to provide to you by law, agreement, or as reasonably necessary to administer your account or insurance placement and policies. Communications include, but are not limited to: account enrollment materials, insurance applications and questionnaires, warranty statements, risk/underwriting requests, quotes and proposals, surplus lines disclosures, invoices and billing statements, payment confirmations, policy documents (declarations, policies, endorsements), certificates of insurance, renewal notices, servicing notices, privacy notices, and other disclosures relating to your account or coverage.

"Policy" means any written contract of insurance or certificate issued by an insurance carrier, including endorsements and declarations.

1. Scope of Communications Provided in Electronic Form

By providing your consent, you agree that RiskCube may provide you with Communications in electronic form (a "Paperless Transaction") and may discontinue sending paper Communications to you, except where paper delivery is required by applicable law, carrier requirements, or where we elect to provide paper notices.

You acknowledge that we may authorize insurance carriers, underwriters, wholesalers/MGAs, and service providers to deliver certain Communications to you on our behalf and to facilitate delivery through the Platform.

2. How We Deliver Electronic Communications

We provide Electronic Communications by one or more of the following methods:

  • Email to the address associated with your RiskCube account; and/or
  • Posting to your secure dashboard on the Platform (where you can view, download, and print).

We may also send SMS/text messages or other alerts for convenience (e.g., reminders or notifications). Unless we expressly state otherwise, SMS/text alerts are not the exclusive method for delivering legally required notices.

It is your responsibility to regularly review your email and dashboard for Communications.

3. How to Withdraw Consent

You may withdraw your consent to receive Electronic Communications at any time by:

  • Emailing privacy@riskcube.com, or
  • Using account settings we make available for communication preferences.

At our option, we may treat an invalid email address (or an email address that becomes undeliverable) as a withdrawal of consent.

We will not charge a fee to process withdrawal of consent. However, because our operations are designed primarily for electronic delivery, withdrawing consent may result in limitation or termination of certain Services. Withdrawal of consent does not affect the legal validity or enforceability of Communications previously provided electronically.

Even if you withdraw consent, we may still send paper notices where required by law or carrier requirements.

4. How to Update Your Records

You are responsible for providing and maintaining accurate contact information (including email address). You may update your information through your dashboard or by contacting info@riskcube.com.

Please do not send sensitive personal or financial information via unencrypted email. Use secure Platform features where available.

5. Hardware and Software Requirements

To access, view, and retain Electronic Communications, you must have:

  • An up-to-date Internet browser (e.g., Chrome, Safari, Firefox, or Edge);
  • A device capable of connecting to the Internet (computer, smartphone, tablet, etc.);
  • A valid email account and software to access it;
  • Sufficient storage capacity to retain Communications and/or a printer to print them;
  • Software capable of viewing PDF files (e.g., Adobe Acrobat Reader or equivalent);
  • Email settings that permit receipt of messages from info@riskcube.com (add us to your safe senders/whitelist).

RiskCube is not responsible for Communications you cannot access due to inadequate hardware/software or email filtering settings.

6. Requesting Paper Copies

You may request a paper copy of a Communication by emailing info@riskcube.com. Requests should be made within a reasonable time after the Communication is first provided electronically.

We may charge a reasonable service fee for paper copies to the extent permitted by law, and we will disclose any such fee to you in advance. You may print documents directly from your dashboard at no charge.

7. Communications "In Writing"; Electronic Signatures

All Communications provided in electronic format will be considered "in writing" and have the same legal effect as paper Communications. Your electronic signatures, acknowledgments, and acceptances (including clicking "I Agree," checking a box, or similar actions) are legally binding and have the same effect as handwritten signatures.

You should download and retain copies of this Disclosure and other Communications that are important to you.

8. Federal and State Law

You acknowledge and agree that your consent is being provided in connection with a transaction affecting interstate commerce and is subject to E-SIGN and applicable state electronic transaction laws (including UETA, where adopted). You intend that these laws apply to the fullest extent possible to validate our ability to conduct business electronically.

9. Changes

We may update this Disclosure from time to time. We will post the updated version on the Platform and update the effective date above. Where required by law, we will provide additional notice.

10. Governing Terms

This Disclosure is incorporated into and governed by the RiskCube Terms and Conditions, including any dispute resolution provisions (such as arbitration) contained therein.

11. Acceptance and Consent

By checking an acknowledgment box, creating an account, submitting an application, requesting a quote, providing a binding instruction, or otherwise completing a transaction through the Platform, you consent to this Disclosure and agree:

"I have read, understand, and agree to the terms described above and consent to receive Communications electronically according to this Disclosure."
